You are authorized to enter into this agreement on behalf of your business or organization.
Services Description
iTeleco provides business phone system services including:
VoIP Solutions
Cloud-based and hosted VoIP phone systems with modern features and scalability.
Legacy PBX Support
Maintenance, repair, and support for existing legacy phone systems.
Installation Services
Professional installation, setup, programming, and training for new systems.
24/7 Support
Round-the-clock technical support and emergency services.
Relocation Services
System relocation, moves, add-ons, and changes (MACs).
Cabling Services
Voice and data cabling installation (CAT5e/CAT6).
Service Availability: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of significant changes when possible.
Payment Terms
Pricing and Fees
- All prices are quoted in US Dollars unless otherwise specified.
- Prices are subject to change with 30 days' notice for recurring services.
- Installation fees, equipment costs, and service charges will be itemized in your quote.
- Emergency service rates may apply for after-hours support.
Payment Schedule
Payment terms vary by service type:
- Installation Services: 50% deposit required, balance due upon completion.
- Recurring Services: Monthly billing in advance unless otherwise agreed.
- Repair Services: Payment due upon completion of work.
- Equipment Sales: Payment required before delivery unless credit terms are approved.
Late Payment
Invoices not paid within 30 days of the due date may be subject to a late fee of 1.5% per month or the maximum allowed by law. Services may be suspended for accounts more than 60 days past due.
Warranty and Returns
Equipment Warranty
- New Equipment: 12-36 months manufacturer's warranty.
- Refurbished Equipment: 30 days to 12 months warranty depending on the product.
- Parts: 90-day warranty on replacement parts.
Service Warranty
Our installation and repair services are warranted as follows:
- Installation work: 90-day workmanship warranty
- Repair services: 30-day warranty on completed repairs
- Programming and configuration: 30-day warranty
Warranty Limitations
Warranties do not cover:
- Damage caused by misuse, abuse, or improper operation
- Unauthorized modifications or repairs by third parties
- Normal wear and tear
- Acts of nature, electrical surges, or environmental conditions
- Issues caused by third-party service providers
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall iTeleco, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:
- Loss of profits, data, use, goodwill, or other intangible losses
- Business interruption or system downtime
- Cost of substitute equipment or services
- Unauthorized access to or alteration of your transmissions or data
Maximum Liability
Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you to iTeleco for the specific service giving rise to the claim during the 12 months preceding the claim.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless iTeleco and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:
- Your use and access of the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right
- Any claim that your use of the Service caused damage to a third party
Termination
By Us
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive, including warranty disclaimers, indemnity, and limitations of liability.
By You
You may terminate your service agreement by providing written notice:
- Month-to-Month Services: 30 days' notice required
- Annual Contracts: Subject to early termination fees unless completed
- You remain responsible for all charges incurred through the termination date
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of iTeleco and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of iTeleco.
Governing Law and Dispute Resolution
Applicable Law
These Terms shall be governed and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
Dispute Resolution
In the event of any dispute arising from these Terms or the Service:
- The parties shall first attempt to resolve the matter through good faith negotiations
- If negotiations fail, the parties may pursue mediation
- Any unresolved disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Miscellaneous Provisions
Entire Agreement
These Terms constitute the entire agreement between us regarding our Service and supersede all prior agreements and understandings.

Waiver

Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control.
